  2. PATENT LICENSE 
  3.  
  4. _______________________, referred to as PATENT HOLDER, and
  5. ____________________, referred to as  LICENSEE agree: 
  6.  
  7. WHEREAS, PATENT HOLDER, is the owner of the following described 
  8. patents: 
  9.  
  10. ___________________________, Patent number: ___________________,
  11. issued on __________________________
  12.  
  13. and, WHEREAS, 
  14.  
  15. LICENSEE desires to obtain a non-exclusive license to use the 
  16. patent, IT IS AGREED: 
  17.  
  18. That PATENT HOLDER grants to LICENSEE the non-exclusive right to 
  19. manufacture, sell, and otherwise use and practice the above 
  20. stated invention throughout the United States. This license shall 
  21. apply to any extension or re-issue thereof.  
  22.  
  23. LICENSEE shall pay a royalty of ____ percent of the net selling
  24. price of all products and goods in which the patents stated above 
  25. are used. In the event that such products are used by the 
  26. LICENSEE directly, or are disposed of in another manner than 
  27. sale, the royalty shall be calculated on the customary price for 
  28. similar goods. In the event that any products made under the 
  29. license are sold to a corporation which is controlled by or is a 
  30. subsidiary of, LICENSEE, the royalty shall be determined by the 
  31. re-sale price.

  33. ROYALTIES shall be paid on a quarterly basis, with a report of 
  34. sales and payment due no later than 15 days after the end of the 
  35. quarter. LICENSEE shall permit PATENT HOLDER, and PATENT HOLDER's 
  36. agents reasonable access to any and all of the records of 
  37. LICENSEE related to the use of the patent and to royalties. Such 
  38. accountings shall be deemed to be final if no objection or 
  39. request for audit is received by the PUBLISHER within 1 year  
  40. following settlement. In the event of a dispute, the parties 
  41. shall appoint a disinterested certified public accountant to 
  42. conduct an audit.  Each party may present argument or materials 
  43. to the certified public accountant. The decision of the certified 
  44. public accountant shall be final and may be entered as a judgment 
  45. in any court with jurisdiction. The cost of the audit shall be 
  46. paid by the prevailing party. In the event that the parties 
  47. cannot agree on a disinterested certified public accountant, each 
  48. party shall appoint a certified public accountant and the two 
  49. shall appoint a third certified public accountant, and the 
  50. majority of those persons shall appoint the single disinterested 
  51. Certified Public Accountant. The expense of the panel of 
  52. appointment shall be borne by each party equally. Interest at the 
  53. highest legal rate shall accrue on any unpaid royalties.

  55. In the event of any improvement of the invention, these 
  56. improvements shall be disclosed to the LICENSEE by PATENT HOLDER, 
  57. and the LICENSEE shall have the right to use and practice the 
  58. improvements. 
  59.

  61. PATENT HOLDER shall provide reasonable cooperation and assistance 
  62. to LICENSEE as to the practice and use of the patent.  
  63.  
  64. This license may not be assigned or transferred by LICENSEE 
  65. except with the prior approval of PATENT HOLDER, which shall not 
  66. be unreasonably withheld. 
  67.  
  68. Upon any default herein, the PATENT HOLDER may terminate this 
  69. contract after 15 days notice of the breach. 
  70.  
  71. The LICENSEE shall notify PATENT HOLDER immediately as to any 
  72. infringement of the patent of which LICENSEE may become aware of 
  73. from time to time.
